General terms and conditions
These are general hotel policies for Yaiderenko (Yaiderenko). Yaiderenko has the Chamber of Commerce number 91220033. If you have any questions about these terms and conditions, please contact us via the word βmailβ and then the domain @yaiderenko .ai.
We have the right to change these terms and conditions. You agree that the latest version of these terms and conditions will always apply to the assignment. Agreements that differ from these general terms and conditions are only valid if they have been recorded in writing.
Requirements
1. Services
Our services include AI FTE, AI Project and AI Training.
2. Application of the General Terms and Conditions
These terms and conditions apply to every offer, quote and order between Yaiderenko and you (the Client). We will send these terms and conditions to you free of charge upon request. The terms and conditions are also available at https://www.yaiderenko.ai/.

3. Conclusion of the assignment
The assignment is concluded when the Client shows that it agrees to the assignment.
4. Offers and offers
4.1. All offers and quotes made by Yaiderenko are without obligation, unless otherwise agreed. An offer in a quote only applies to the specific underlying order (and not to any future orders).
4.2. If the Client provides Yaiderenko with information, Yaiderenko can assume that they are correct and Yaiderenko will base the offer on this.

5. Price
5.1. Yaiderenko may increase the price for the service in the meantime if there are unforeseen
and cost-increasing circumstances occur after the conclusion of the order.
5.2. If Yaiderenko is forced to increase the price due to the circumstances mentioned in the previous article, the Client has the right to cancel the order. Costs or hours already incurred will be charged. In such cases, the Client is not entitled to compensation or compensation.
5.3. The price does not include any expenses incurred by Yaiderenko and excludes VAT and other government levies.
6. Payment and collection costs
6.1. The client must always pay within fourteen days of the invoice date. Yaiderenko will
invoicing monthly.
6.2. If the Client does not pay the invoice on time, he is in default by operation of law.
The client then owes the statutory interest (if he is a consumer) or the statutory commercial interest (if he is a company). The interest on the due amount is calculated from the moment that the Client is in default until the moment of payment of the full amount due.
6.3. If the Client is in default, he also owes Yaiderenko all extrajudicial collection costs. With an invoice amount of up to β¬267, these costs will be β¬40. With a higher invoice amount, the maximum collection costs are as follows:
15% over the first β¬2,500;
10% on the part that remains afterwards, up to β¬5,000;
5% on the part that remains afterwards, up to β¬10,000;
1% on the part that remains afterwards, up to β¬200,000;
0.5% over the remaining part, with the total collection costs a maximum of β¬6,775
amounts.
6.4. Yaiderenko's entire claim against the Client is immediately due and payable if:
Client exceeds a payment period;
Client has been declared bankrupt or is in suspension of payment;
Client (company) is dissolved or liquidated;
Client (natural person) is placed under guardianship or dies.
7. Contract duration
7.1. Yaiderenko and Client enter into the assignment for an indefinite period of time, unless Parties
agree otherwise.
7.2. In the case of an assignment for an indefinite period, the following notice periods apply: Yaiderenko can terminate the agreement as of the first of the month. The notice period is one month. Yaiderenko cancels by registered letter. The client can terminate the agreement as of the first of the month. The Client has a notice period of one month. The client writes by registered letter and states the reason for cancellation. Parties can terminate the agreement at any time in joint consultation.
Provisions
8. Implementation period

8.1. If the Client owes an advance payment or information or materials

8.2. If a period has been agreed or specified for the execution of the order, this is never a deadline. If a period is exceeded, Client must first give Yaiderenko notice of default in writing.

8.3. Client cannot terminate the order due to Yaiderenko exceeding the deadline. This does not apply if the execution is permanently impossible or if Yaiderenko also does not carry out the assignment within a period of time specified by Yaiderenko again in writing.
9. Third parties
Yaiderenko may have work carried out (partly) by third parties. Articles 7:404 of the Dutch Civil Code (execution by a specific person), article 7:407 paragraph 2 (joint and several liability) and 7:409 of the Dutch Civil Code (death of a specific person) do not apply.
10. Execution of the order
10.1. Yaiderenko will carry out the assignment to the best of his knowledge and ability and in accordance with the requirements of good workmanship.
10.2. Yaiderenko may carry out the assignment in several stages and invoice the completed parts separately.
10.3. If Yaiderenko executes the order in phases, Yaiderenko can suspend the execution of the components of a subsequent phase until the Client has approved the results of the previous phase in writing.
10.4. The Client ensures that it timely provides Yaiderenko with all information or materials that are necessary for Yaiderenko to carry out the assignment.
10.5. If the Client does not provide the necessary information or materials in time, Yaiderenko may suspend the execution of the order and invoice the additional costs resulting from the delay. Yaiderenko is not liable for damage that occurs because Yaiderenko relied on incorrect or incomplete information provided by the Client.
11. Change of order
11.1. If, during the assignment, it appears that for proper execution, it is necessary to:

11.2. Yaiderenko can raise or lower the agreed price. Yaiderenko will (if it
is possible) provide a quote in advance. A change in the order may also change the specified period of execution. Client accepts the possibility of changing the order, price and execution period.

11.3. Yaiderenko may refuse a request to change the Client's order if this may have a qualitative or quantitative effect on the work.
12. Suspension, dissolution
12.1. Yaiderenko may suspend the assignment as Yaiderenko due to circumstances (those outside)

13. Interim termination

13.1. If Yaiderenko cancels the assignment in the meantime, Yaiderenko will arrange for the transfer of

13.2. Yaiderenko may terminate the order immediately (and is not obliged to pay compensation or compensation) in one of the following cases:
Client exceeds a payment term;
Client is bankrupt or in suspension of payment;
Client (company) is dissolved or liquidated;
Client (natural person) is placed under guardianship or dies; or
There is another circumstance as a result of which the Client is no longer

14. Force majeure
β
14.1. Yaiderenko does not have to fulfill his obligations in the event of force majeure.
14.2. Yaiderenko can suspend the obligations under the order during the period that the force majeure continues. If this period lasts longer than 1 month, both parties may terminate the order without being obliged to pay compensation.

14.3. If Yaiderenko has partially fulfilled his obligations and if the fulfilled part has independent value, Yaiderenko may invoice the fulfilled part.

15. Retention of title
β
15.1. Everything that Yaiderenko supplies remains Yaiderenko's property until the Client has all its

16. Research
β

17. Complaints

17.1. The client must report any complaints in writing and within one month.

replacement or indemnification.

17.4. If it is established that a case is defective and this is reported on time, Yaiderenko will

18.5. The limitations of liability contained in this article do not apply if the
damage is due to intent or gross negligence on the part of Yaiderenko.

20. Limitation period

The limitation period for all claims and defenses against Yaiderenko is one year.

2.1 Indemnification

21.1. The client indemnifies Yaiderenko against any claims from third parties that cause damage.

23. Nullity

24. Conflicting clause

In the event that these terms and conditions and the agreement contain conflicting terms, the terms contained in the agreement apply.
